1. General Provisions

These Terms and Conditions (hereinafter "Terms") apply to all business relationships between AIST GmbH (hereinafter "Company") and its customers, unless otherwise provided by an individual written agreement. In case of discrepancies between these Terms and the provisions of an individual agreement, the individual agreement takes precedence.

2. Subject of Services

The Company provides services in the areas of warehouse logistics, fulfillment, organization of international transportation, import and export, trade, commission and agency services, as well as administrative and technical support. The specific scope and conditions of service provision are determined by an individual agreement with the customer.

3. Customer Obligations

The customer undertakes to provide all necessary data, documents and instructions required for the proper provision of services. In case of delays on the customer's side, the deadlines for fulfilling obligations on the Company's side may be extended accordingly.

4. Remuneration and Payment Terms

Payment for services is made based on the individual agreement. Unless otherwise agreed, invoices are payable within 14 calendar days from the invoice date without deduction. The Company is entitled to demand prepayment or advance payment.

5. Liability

The Company is liable only for intentional or grossly negligent breach of its obligations. Liability for indirect damages, lost profits or other indirect losses is excluded. The maximum liability is limited to the contract amount, unless mandatory legal provisions provide otherwise.

6. Force Majeure

The parties are released from liability for partial or complete non-performance of obligations caused by force majeure circumstances, including but not limited to: natural disasters, wars, epidemics, actions of authorities, transport and communication failures.

7. Confidentiality

The parties undertake to keep confidential all commercial and technical information received during cooperation, unless otherwise required by law or agreed in writing.

8. Personal Data Protection

The Company processes personal data of customers in accordance with applicable German and EU law, including the General Data Protection Regulation (GDPR). For more information, see our Privacy Policy.

9. Applicable Law and Jurisdiction

German law applies. All disputes are subject to the jurisdiction of the competent court at the Company's location (Frankfurt am Main), unless otherwise agreed by contract.

10. Final Provisions

Changes and additions to these Terms are valid only in written form. The invalidity of individual provisions does not affect the validity of the remaining provisions. In such case, the parties undertake to replace the invalid provision with a valid one that comes closest to the meaning and purpose.
